By accessing or using our website, engaging our services, or entering into any agreement with drexflyl, you agree to be bound by these Terms and all applicable Canadian laws. If you do not agree to these Terms, you must not use our website or services.

These Terms apply to all visitors, users, clients, and other persons who access or use our services. If you are entering into these Terms on behalf of an organization, you represent and warrant that you have authority to bind that organization.

2. Scope of Services

drexflyl provides corporate broadcast and video production services, which may include, without limitation:

  • Corporate video strategy and production planning;
  • Scriptwriting, storyboarding, and creative development;
  • Filming, live capture, and studio or on-location production;
  • Broadcast production services and technical coordination;
  • Post-production editing, motion graphics, color correction, sound design, and mastering;
  • Event video production and livestream-related services;
  • Delivery of digital media files and related production assets;
  • Consulting and project management related to the foregoing services.

We reserve the right to modify, suspend, or discontinue any service offering at any time, with or without notice, subject to any separate written agreement with a client.

Unless otherwise agreed in writing, all services are provided on a project-specific basis and subject to a proposal, statement of work, quotation, or other written agreement approved by both parties.

3. User Obligations and Responsibilities

When using our website or services, you agree to:

  • Provide accurate, current, and complete information;
  • Promptly update any information that becomes inaccurate or incomplete;
  • Cooperate in good faith with project timelines, approvals, and deliverables;
  • Obtain all necessary permissions, licenses, releases, and consents for any materials you provide to us or request us to use;
  • Ensure that any content, materials, or instructions you supply do not infringe intellectual property, privacy, publicity, or other rights of any third party;
  • Comply with all applicable federal, provincial, and municipal laws and regulations in Canada;
  • Not use our website or services for unlawful, fraudulent, defamatory, harassing, or otherwise harmful purposes.

You are solely responsible for the legality, accuracy, and completeness of materials or information you provide to drexflyl, including logos, music, images, footage, scripts, and brand assets. You acknowledge that delays caused by your failure to provide required materials or approvals may affect delivery timelines and may result in additional fees.

4. Payment Terms and Conditions

Unless otherwise stated in a signed agreement or invoice, all fees are quoted in Canadian dollars (CAD). Payment terms may include deposits, milestone payments, retainer arrangements, or final balance payments depending on the nature and scope of the project.

  • A non-refundable deposit may be required before work begins.
  • Invoices are payable by the due date specified on the invoice or agreement.
  • Late payments may result in work suspension, delivery delays, administrative fees, or interest charges to the extent permitted by law and stated in writing.
  • Any out-of-scope services, rush requests, additional revisions, travel, equipment rentals, permits, third-party licensing, or production expenses may be billed separately.
  • Taxes, including applicable GST/HST and other lawful taxes, will be charged where required.

Unless otherwise agreed in writing, quoted prices are estimates only and may change if the project scope, timeline, or deliverables change. Client-approved expenses incurred on the client’s behalf are payable in full.

5. Cancellation and Refund Policy

Because our services involve dedicated scheduling, planning, and production resources, cancellations are subject to the following conditions unless otherwise stated in a separate written agreement:

  • Deposits are generally non-refundable once work has commenced or resources have been reserved.
  • If a client cancels a project after work has begun, the client remains responsible for payment of all work completed, expenses incurred, and non-cancellable third-party costs.
  • Any cancellation fees, if applicable, may be specified in the proposal, invoice, or statement of work.
  • Rescheduling requests are subject to availability and may incur additional fees, especially for booked crews, studios, venues, or travel-related arrangements.
  • Refunds, if any, are issued only at our discretion or where required by applicable law, and only for amounts not already earned or committed to project costs.

If drexflyl must cancel a project due to circumstances beyond our control, our liability will be limited to the return of any unearned amounts actually received, less committed or non-recoverable costs, unless otherwise required by law.

6. Liability Limitations

To the fullest extent permitted by applicable Canadian law, drexflyl shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, revenue, goodwill, business opportunities, data, or anticipated savings, arising out of or related to your use of our website or services.

Without limiting the foregoing, we are not responsible for:

  • Delays caused by client actions, third-party vendors, weather, venue restrictions, equipment failure not caused by our gross negligence, or force majeure events;
  • Errors or omissions in materials supplied by the client;
  • Third-party content, licenses, platforms, hosting services, music rights, stock assets, or distribution channels;
  • Losses resulting from unauthorized access to or alteration of your content or systems not caused by our intentional misconduct or gross negligence.

To the maximum extent permitted by law, the total aggregate liability of drexflyl for any claim arising out of or relating to the services shall not exceed the amount paid by you to drexflyl for the specific services giving rise to the claim during the three (3) months preceding the event giving rise to the claim, unless a different limitation is required by law or expressly agreed in writing.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including liability for fraud, wilful misconduct, or other liability that may not lawfully be excluded.

7. Intellectual Property Rights

All intellectual property rights in and to the website, company branding, templates, workflows, methods, tools, software, and pre-existing materials owned or licensed by drexflyl remain the property of drexflyl or its licensors.

Unless otherwise expressly agreed in writing:

  • Upon full payment of all applicable fees, the client receives a license or assignment, as specified in the applicable agreement, to use the final deliverables for the agreed purpose;
  • drexflyl retains ownership of all underlying production materials, drafts, edits, project files, raw footage, project assets, and creative processes unless transfer is expressly stated in writing;
  • We may retain copies of deliverables and project materials for archival, portfolio, legal, or administrative purposes, subject to confidentiality obligations and applicable law;
  • We may display completed work in our portfolio, website, showreels, case studies, or promotional materials unless the client objects in writing before project completion or the applicable agreement states otherwise.

The client represents that any materials provided to drexflyl do not infringe third-party rights and that the client has obtained all necessary permissions for their use. If third-party content is required, the client is responsible for obtaining and paying for the required licenses unless otherwise agreed.

In the event of a force majeure occurrence, performance obligations will be suspended for the duration of the event. We will use commercially reasonable efforts to resume performance as soon as practicable. If the event materially affects project completion, the parties may agree to reschedule, revise scope, or terminate the affected portion of the services on reasonable terms.
